LATEST APPOINTMENT ADDS MANAGEMENT DEPTH TO SOUTHERN’S NEWLY FORMED CONTROL STATE DIVISION

     MIAMI - December 7, 2005 – Southern Wine & Spirits of America, Inc., the country’s largest wine and spirits distributor with operations in 20 states and pending in one more, today announced the appointment of Paul Criscuolo as Vice President, General Manager for the Company’s operations in North Carolina, Virginia and West Virginia, according to Brad Vassar, Executive Vice President, General Manager of Southern Wine & Spirits of America, Inc. The Company now operates in eight Control States including: Maine, New Hampshire, North Carolina, Pennsylvania, Vermont, Virginia, West Virginia and Mississippi (acquisition close pending).
     According to Mr. Vassar, Mr. Criscuolo’s appointment is effective January 1, 2006; he also noted that Mr. Criscuolo will report directly to Steven Dick, Vice President, General Sales Manager – Control States Division.  Both Mr. Criscuolo and Mr. Dick will work closely with Peter Hickey, who was recently named as Executive Vice President, General Manager – Control States Division of Southern Wine & Spirits of America, Inc., effective January 1, 2006 as well. The Company’s new Control State Division was established in August 2005 in recognition of Southern’s growing presence in Control State markets.
     Mr. Vassar also announced that Worth Dunn, formerly in charge of the Company’s Virginia, North Carolina and West Virginia operations, is moving on to other pursuits. Mr.  Dunn is committed to achieving an orderly transition with Mr. Criscuolo and is the third generation leader of a wine and spirits distribution business established by his grandfather in 1944.  Mr. Dunn began his career in the wine and spirits distribution business in 1976.
      Mr. Vassar said, “Given the importance of the North Carolina, Virginia, and West Virginia, we are confident that Paul’s talents and professionalism will assure Control State officials in these three critical markets that there will be strong continuity in our Company’s ongoing efforts to confidently and ably serve the interests of these three important Control State markets, now and going forward.”
     Mr. Vassar added: “On behalf of the entire Southern Wine & Spirits of America organization, I want to sincerely thank Worth Dunn for his contributions to the growth and development of our Control State business and compliment him on his professionalism. We all wish him the very best in his future endeavors.”
     Noting Mr. Criscuolo’s record of achievements, Mr. Vassar said, “Paul brings more than 20 years of combined Control States experience to our organization, including proven skills in leading Control State operations from the Supplier side of the business. We look forward to Paul making important contributions to our existing Control State business and his working closely with our growing multi-state team.” 
     Prior to joining Southern Wine & Spirits of America, Inc., Mr. Criscuolo served as Vice President of the Control States Unit of Allied Domecq Spirits, North America, and before that with Joseph E. Seagram & Sons, in various roles of increasing responsibility both in the United States and Asia. Mr. Criscuolo is a graduate of the University of Colorado, with a B.A.S. in Economics/African and Middle Eastern Studies.
